These Terms of Service ("Terms") are a legal agreement between you and Effie Labs LLC, doing business as Effie ("Effie," "we," "us," or "our"), and apply when you access or use effieapp.ai, workspace.effieapp.ai, and related services (the "Service").
By using Effie, creating an account, clicking to accept these Terms, or using a workspace that references these Terms, you agree to them.
If you are using Effie on behalf of a company or organization, you represent that you have authority to bind that business to these Terms.

You must be at least 18 years old and able to enter into a binding agreement to use Effie.
You may use Effie only in compliance with these Terms and applicable laws.
You are responsible for:
Each login is for one person only. You may not share accounts or credentials.
You must tell us promptly if you believe your account has been accessed without permission.
Some parts of Effie may be free, and some may require payment.
If you sign up for a paid plan:
If pricing changes, we may provide notice before the new pricing takes effect.
If a payment fails, we may retry the charge, suspend paid features, or limit access until the account is brought current.
Unless we say otherwise in writing, fees are non-refundable except where required by law.
If you give permission to receive texts from Effie or through an Effie-powered workflow, the following messaging terms apply:
Effie sends recurring text messages about property questions, appointments, offers, document updates, and optional marketing updates.
Message frequency varies. Message and data rates may apply. Reply STOP to opt out. Reply HELP for help.
Consent is not a condition of purchase. Carriers are not liable for delayed or undelivered messages.
If you use Effie to send text messages, you are responsible for making sure you have the required consent, notices, and opt-out handling under applicable law and carrier rules.
You may not use Effie to send unlawful spam, misleading messages, or messages to people who have not properly opted in where consent is required.
We do not guarantee delivery, timing, or availability of text messaging features because those features depend on third-party providers, carrier networks, and recipient devices.
You may not use Effie to:
You keep ownership of the content you submit to Effie, including records, messages, files, documents, notes, and workspace data ("Customer Content").
You give Effie a limited right to host, store, copy, process, transmit, display, and use Customer Content as needed to provide, secure, support, and improve the Service.
You represent that you have the rights and permissions needed to upload, store, send, or process Customer Content through Effie.
Effie is a collaborative workspace product. Depending on your workspace settings and permissions, Customer Content may be visible to other authorized users in your workspace.
Effie includes AI-assisted features that may help draft messages, summarize information, analyze files, or assist with workflows.
AI output may be incomplete, inaccurate, or inappropriate and should be reviewed by a person before you rely on it.
Effie is not a law firm, broker, lender, title company, or financial advisor, and the Service does not provide legal, tax, accounting, lending, brokerage, or other professional advice.
Effie may work with third-party services such as communications providers, payment processors, cloud and infrastructure vendors, AI and document-processing providers, and integrations you choose to connect.
Your use of third-party services may also be subject to those third parties' own terms and policies.
We are not responsible for third-party services we do not control.
Information from third-party services may be inaccurate, incomplete, delayed, or unavailable, and you are responsible for checking important information before acting on it.
Effie and its related software, designs, branding, and content are owned by Effie or its licensors and are protected by law.
These Terms do not give you ownership of Effie's intellectual property. We give you a limited, non-exclusive, non-transferable, revocable right to use the Service as allowed by these Terms.
We may suspend, restrict, or terminate access to all or part of the Service if:
You may stop using Effie at any time. Termination does not remove payment obligations that already arose before termination.
Effie is provided on an "as is" and "as available" basis.
To the fullest extent allowed by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not guarantee that the Service will be uninterrupted, error-free, fully secure, or available at all times.
To the fullest extent allowed by law, Effie and its officers, employees, contractors, affiliates, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, even if we were advised that such damages might happen.
To the fullest extent allowed by law, Effie's total liability for claims arising out of or related to the Service or these Terms will not exceed the greater of:

If you use Effie on behalf of a business, or if your use of Effie causes a claim against us, you agree to defend, indemnify, and hold harmless Effie and its affiliates, officers, employees, and contractors from claims, damages, losses, liabilities, and expenses, including reasonable attorneys' fees, arising out of:
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules.
If a dispute is not resolved informally, you and Effie agree that the state or federal courts located in Travis County, Texas will have exclusive jurisdiction, except where applicable law requires otherwise.
We may update these Terms from time to time.
If we make material changes, we will post the updated version and update the date at the top. Your continued use of the Service after the updated Terms take effect means you accept the revised Terms.
